General Terms and Conditions of MeinFilmLab

1. Scope
Offers made by us are non-binding. These General Terms and Conditions govern the contractual relationship between MeinFilmLab and the consumer or entrepreneur, hereinafter also referred to as the customer, when using our services and when purchasing goods through our offer.
2. Conclusion of Contract
By paying our invoice, you legally accept the offer, whereby the contract is concluded and the order is carried out.
With regard to the existence of copyrights, we rely on the customer’s information. If rights of any kind are infringed as a result of the customer’s failure to provide the necessary information, the customer shall be solely liable. The customer shall immediately indemnify us against any claims made by third parties.
3. Online Offer and Provision of Digital Image Data
The finished scans are available for download for at least 15 working days from the time they are made available. In exceptional cases, for example due to public holidays, vacation, illness or technical disruptions, this period may be extended.
After this period, the files will be deleted from our internet server and from our internal IT systems. Permanent storage or archiving of image data is expressly not carried out.
Due to their considerable data volume, TIFF files cannot always be made available for download. For larger orders of three films or more, TIFF files are provided exclusively on a physical data carrier by postal shipment.
4. Storage of Negatives
Films are generally cut into film strips and sleeved after processing.
Permanent storage or interim storage of negatives is not provided unless expressly agreed separately.
5. Payment Terms
Invoices are payable immediately and without deduction. We work on a prepayment basis.
If an order is not paid within two months after invoicing and reminder, and if we receive no further information from the customer, the order including the material contained therein may be destroyed by us.
Special formats, effect films, Lomo films, panorama formats, films of unknown origin or other special materials may be subject to a surcharge. In case of doubt, we will determine this in writing in advance.
6. Express Processing
For a separately stated surcharge, we offer accelerated processing of development and scan orders, known as express processing.
Depending on the selected option, for example four working days, two working days or one working day, the films are processed with priority and the created image data is provided in JPG format by download within the selected time frame. The period is calculated from receipt of payment. If payment is received after 12:00 noon, the following day shall be deemed the starting point.
Weekends, public holidays and technical failures are excluded from this calculation.
For larger orders of three films or more, TIFF files are provided exclusively on a physical data carrier by postal shipment due to the considerable data volumes involved. The shipping route is not part of the express service, but is subject to the usual logistical conditions and delivery times of the commissioned shipping service providers.
If, as part of an express order, provision on a data carrier is requested or required due to the data volume, the express service is limited to internal completion and handover for shipment within the express period. Expedited delivery by the shipping service provider is not part of the service promise.
If the express processing is carried out by us within the agreed period, there is no claim to full or partial reimbursement of the express surcharge, regardless of the selected data format or shipping method.
7. Shipping and Packaging
All shipping costs shall be borne by the customer unless otherwise agreed.
If you are a consumer, the risk of accidental loss and accidental deterioration of the sold item during shipment passes to you only upon delivery of the goods to you. This applies regardless of whether the shipment is insured or uninsured.
This does not apply if you have independently commissioned a transport company not named by us or another person designated to carry out the shipment.
If you are an entrepreneur, delivery and shipment are at your risk.
8. Contaminated Films and Liability
The customer is obliged to submit only films that are in a technically safe and uncontaminated condition.
Films that have come into contact with other chemicals, liquids or other substances of any kind before submission, or whose condition is unclear, must not be handed over to us without prior consultation.
Any pretreatment, for example soaking in liquids, chemical experiments, cleaning procedures, self-development attempts or water damage, must be reported to us in advance.
This obligation also expressly applies to ECN-2 film material. Due to the existing remjet backing layer and the special chemical properties of ECN-2 emulsions, there is an increased risk to process chemistry and developing machines. ECN-2 films must therefore be clearly identified as such when placing the order.
Undeclared ECN-2 films are considered a breach of the obligation to provide accurate information about the condition of the film material.
If films are submitted without appropriate labeling or without information about their condition and these films demonstrably cause damage to our developing machines, to the process chemistry used or result in operational interruptions due to contamination, the customer shall be liable for all resulting damages.
This includes, in particular, the costs of restoring the machines and processes as well as any downtime that may affect one or more production days.
We reserve the right to exclude contaminated, improperly declared or suspicious films from processing and, in case of doubt, to dispose of them at the customer’s expense if this is necessary to maintain safe laboratory operations.
9. Complaints and Photographic Particularities
The stated formats are working formats and may be smaller due to cropping.
If the customer does not provide specific instructions regarding the desired colour, brightness or contrast, we determine these characteristics according to the state of our technology.
For reorders, identical results are not guaranteed due to material-related causes.
The dyes used in photographic materials change over time. The spectral colour sensitivity and colour reproduction of different materials, for example monitors, photographic paper, film, inkjet paper, prints or other output media, may differ from one another and do not necessarily correspond to human visual perception.
Old films, effect films and films of unknown origin are processed at the customer’s request. We reserve the right to reject orders involving such films. Colour-accurate work is technically not possible with such films.
10. Warranty
Consumers are requested to check the goods upon delivery for completeness, obvious defects and transport damage and to notify us and the transport company of any complaints as soon as possible.
However, a later assertion of obvious defects by a consumer does not result in the loss of statutory warranty rights.
The statutory rights for defects apply.
In the case of justified complaints, we may, at our discretion, repeat or rectify the service within a reasonable period of time. If the repeat performance or rectification fails, the customer may withdraw from the contract or reduce the remuneration.
Supplementary performance shall only be deemed to have failed after two unsuccessful attempts at supplementary performance.
If you are an entrepreneur, the following shall apply by way of deviation: You are obliged to inspect the goods immediately for defects and to notify us in text form of any obvious defects within seven days of receipt of the goods. Timely dispatch of the notification is sufficient to meet the deadline. This also applies to hidden defects discovered later, from the time of discovery.
In the event of a breach of the duty to inspect and give notice of defects, the assertion of warranty claims is excluded.
For entrepreneurs, the warranty period is one year from delivery of the goods. The shortened warranty period does not apply to culpably caused damages attributable to us arising from injury to life, body or health, to damages caused by gross negligence or intent, to fraudulent concealment, or to recourse claims pursuant to Sections 478 and 479 of the German Civil Code.
11. Liability
To the extent permitted by law, we are liable only for monetary compensation, not for restoration in kind and not for loss of profit.
Before any kind of further processing, our products must be checked for accuracy by the customer as the further processor.
In the event of loss, destruction or damage due to theft, fire, water ingress or similar events, we shall only be liable up to the amount of the usual insurance cover if we are only responsible for slight negligence.
Our liability for damages arising from injury to life, body or health, for damages caused intentionally or by gross negligence, and in all cases of mandatory statutory liability remains unaffected.
12. FAQ and Supplementary Information
If our service explanations stated in the online FAQ deviate from or supplement the provisions of these General Terms and Conditions, these General Terms and Conditions shall take precedence.
Agreements from the FAQ are only binding if they are expressly stated in the order form, in the order confirmation or in a separate written agreement.
13. Retention of Title
The delivered goods remain our property until full payment has been made by the customer.
14. Data Protection
Personal data is processed exclusively within the framework of the applicable data protection laws, in particular in accordance with the GDPR and the German Federal Data Protection Act.

15. Place of Performance, Place of Jurisdiction, Choice of Law and Dispute Resolution
German law applies, excluding the UN Convention on Contracts for the International Sale of Goods.
If the customer is a merchant, a legal entity under public law or a special fund under public law, the place of jurisdiction shall be our registered place of business.
For consumers, the statutory places of jurisdiction apply.
We are neither obliged nor willing to participate in dispute resolution proceedings before a consumer arbitration board.
Upon publication of an updated version of these General Terms and Conditions, older versions lose their validity.
If individual provisions of these General Terms and Conditions are or become invalid, the validity of the remaining provisions shall remain unaffected. The invalid provision shall be replaced by the relevant statutory provision.
